Terms of Service

These Terms of Service ("Terms") govern your access to and use of automate-pro.com, the AutoMate PRO Connect customer service platform, and any related consulting or automation services (together, the "Services") provided by AutoMate PRO. By accessing our website, messaging one of our WhatsApp Business numbers, or engaging our services, you agree to these Terms.

1. Who we are

The Services are provided by Vuza Alexandru P.F.A. (CUI 54526161, VIES RO54770661), trading as AutoMate PRO, registered at B-dul Bucureștii Noi 136, Sector 1, Bucharest, Romania. You can contact us at alex@automate-pro.com.

2. Scope of the Services

AutoMate PRO provides two related types of service:

  • AI Operations consulting: audits, Context Packs, automated reporting, and bespoke automations for small and medium businesses, scoped and priced individually — we do not publish a public price list. Every engagement starts with a free discovery call, followed by a written, custom quote.
  • AutoMate PRO Connect: a customer service platform providing a shared team inbox to manage customer conversations over WhatsApp (and, where enabled, other channels), with a human operator handling and supervising every conversation, optionally assisted by an AI drafting tool.

3. WhatsApp Business Platform — acceptable use

Where the Services involve WhatsApp messaging, you (and, where applicable, any business using AutoMate PRO Connect) agree to:

  • comply with Meta's WhatsApp Business Messaging Policy and WhatsApp Business Solution Terms;
  • only message users who have opted in or have an existing business relationship justifying contact, and honour opt-out requests promptly;
  • never use the platform to send spam, unsolicited marketing outside an existing relationship, illegal, deceptive, or harmful content;
  • understand that a human operator always supervises the account — the AI assistant is a drafting aid, never an autonomous, unsupervised messaging system.

We reserve the right to suspend access to AutoMate PRO Connect if these rules are breached, to protect the WhatsApp Business Account and the number's messaging quality for all users.

4. Quotes, fees, and invoicing

Fees are defined in the written quote accepted by the client (by email or digital signature), which becomes the binding agreement for that specific engagement. Work outside the agreed scope is billed at an additional hourly rate communicated in advance. As a Romanian sole trader serving EU clients, invoicing follows the applicable tax regime (reverse charge for VAT-registered businesses in other EU countries, under current EU/Romanian tax law).

5. Client obligations

You agree to provide accurate and timely information reasonably required to deliver the Services (access credentials, business data, feedback on drafts) and to meet agreed payment terms. Delays in providing information or access may proportionally delay delivery timelines.

6. Intellectual property

Unless otherwise agreed in writing, custom code, automations, and deliverables built specifically for a client become the client's property once the agreed fee is paid in full. AutoMate PRO retains ownership of its own internal methodologies, templates, and reusable tooling.

7. Confidentiality and data

We treat client data and business information as confidential and handle personal data in line with GDPR — see our Privacy Policyfor details on collection, purpose, and retention. We do not share a client's specific data or deliverables with third parties, nor use them for marketing, without explicit consent.

8. Warranty disclaimer

The Services are provided on an "as is" basis, using reasonable professional skill and care. We do not warrant that the Services will be uninterrupted, error-free, or achieve any specific business result, beyond what is explicitly committed in a signed quote or contract.

9. Limitation of liability

To the maximum extent permitted by applicable law, AutoMate PRO is not liable for indirect damages, lost profits, or data loss arising from use of the Services, except in cases of wilful misconduct or gross negligence. Nothing in these Terms excludes liability that cannot be excluded under applicable law. Where liability cannot be excluded, our aggregate liability is limited to the fees paid for the specific engagement giving rise to the claim in the preceding 12 months.

10. Term and termination

For fixed-scope projects, the engagement ends on delivery of the agreed deliverable and payment in full. For recurring services (monthly retainer), either party may terminate with 30 days' written notice, unless otherwise agreed in the quote. We may suspend or terminate access to AutoMate PRO Connect immediately in case of a breach of Section 3 (WhatsApp acceptable use).

11. Governing law and disputes

These Terms are governed by Romanian law. Any dispute not resolved amicably is subject to the exclusive jurisdiction of the courts of Bucharest, Romania, unless otherwise agreed in writing.

12. Changes to these Terms

We may update these Terms from time to time. The date of the last update is shown above. Changes do not apply retroactively to projects already governed by an accepted quote.
